These Terms of Use ("Terms") govern your access to the GridWyse platform (hereinafter referred to as the "Service") and its use. The platform is owned and operated by GridWyse ("we", "us", or "our"). Please read these Terms carefully before using our services.
By using any part of our platform, you confirm that you have read, understood, and agree to be legally bound by these Terms, as well as our Privacy Policy and Cookies Policy.
1. Acceptance of Terms
By registering, accessing, or using GridWyse, you agree to comply with these Terms and all applicable laws and regulations. If you do not agree with any part of these Terms, please do not use the platform.
2. User Requirements
You must be at least 18 years of age or have reached the age of majority under the laws of your jurisdiction. By using the platform, you confirm that you meet these requirements.
3. User Obligations
As a registered user of GridWyse, you agree to:
- Provide truthful, current, and complete information during registration and when updating your profile.
- Protect your credentials (login, email, password) and not share them with third parties.
- Take full responsibility for actions performed under your account.
- Immediately notify us of any unauthorized access or security breach.
- Use the platform only in a lawful manner, in accordance with your assigned user role (e.g., Owner, Super Admin, Admin, Observer).
- Respect the rights of other users and refrain from actions that may harm the platform or its users.
4. Account Types and Access Levels
GridWyse provides role-based access, including:
- Network Owners — full access to analytics and settings for the entire network.
- Super Admins — delegated management of multiple branches and integrations.
- Admins — limited access to specific locations.
- Observers — view-only access, for example for auditing or onboarding.
Abuse of access rights may result in account suspension or deletion.
5. Account Suspension or Termination
We reserve the right to restrict, suspend, or fully terminate your access to the Service without notice if:
- You violate these Terms or other policies.
- We detect unauthorized or malicious use of system resources.
- Your actions threaten the security or stable operation of the platform.
In such cases, we are not obligated to provide compensation or advance notice.
6. Intellectual Property Rights
All content and technologies of GridWyse, including:
- Design, dashboards, source code, and analytics tools
- Texts, graphics, illustrations, and trademarks
are the property of GridWyse or our licensors and are protected by copyright law, trademark legislation, and other intellectual property rights. You may not copy, modify, distribute, or reproduce any part of the Service without our written consent.
7. Restrictions
You agree not to:
- Reverse engineer or attempt to obtain source code.
- Bypass access mechanisms or attempt to gain unauthorized access.
- Distribute malware, spam, or harmful content.
- Interfere with the operation of the platform's servers or networks.
- Use bots or scripts to manipulate data.
Violations may result in civil or criminal liability.
8. Limitation of Liability
To the extent permitted by applicable law, GridWyse shall not be liable for:
- Indirect, incidental, punitive, or consequential damages.
- Loss of profits, business interruption, data loss, or reputational harm.
- Issues caused by failures in third-party services (e.g., AWS, Google, WayForPay).
You use the platform at your own risk.
9. Indemnification
You agree to defend, indemnify, and hold harmless GridWyse, its subsidiaries, management, employees, and agents from any claims arising from:
- Your violation of these Terms
- Misuse of the platform
- Violation of law or the rights of third parties
10. Changes to the Service or Terms
We reserve the right to modify these Terms at any time. Updates will be posted on this page with a new effective date. Continued use of the Service constitutes your acceptance of the updated Terms.
11. Governing Law and Jurisdiction
These Terms are governed by the laws of Ukraine. All disputes shall be resolved exclusively in the courts of Ukraine, unless otherwise required by law.
12. Dispute Resolution
Prior to initiating legal proceedings, the parties agree to attempt to resolve the dispute through negotiation by contacting [email protected].
If no agreement is reached, the dispute shall be referred to binding arbitration in accordance with the laws of Ukraine. The language of arbitration shall be Ukrainian.
13. Personal Data Protection
All personal data is processed in accordance with our Privacy Policy and Cookies Policy, which are an integral part of these Terms.
